This Website Hosting Agreement ("Agreement") is entered into between Syntera Solutions, hereinafter referred to as the "Provider," and purchasee, hereinafter referred to as the "Client," collectively referred to as the "Parties."
1. Scope of Services:
i. The Provider agrees to host the Client's website on its servers.
ii. The hosting services include what's provided in the purchased package listed on https://store.synterasolutions.com, these may change at any time.
2. Payment Terms:
i. The Client agrees to pay the selected hosting fee of the selected plan.
ii. Payment is due on the day services begin and subsequently on the same date of each payment frequency.
iii. Payment can be made through payment methods listed on https://store.synterasolutions.com.
iv. In the event of a late payment that exceeds 7 days, the Provider reserves the right to suspend or terminate hosting services.
3. Term and Termination: This Agreement shall commence on the purchase date and shall continue on the selected basis until terminated by either party.
4. Service Level Agreement (SLA):
i. The Provider agrees to use commercially reasonable efforts to ensure the website is accessible with a minimum uptime of 99% per year, planned maintenance does not count against this time within the SLA, a 3-day notice via email is required for it to be recognized as planned maintenance.
ii. In the event that the uptime falls below the agreed 99% threshold, the Provider shall take prompt action to investigate and rectify the issue.
iii. If the annual uptime falls below the agreed 99%, the Client shall be entitled to a partial refund. The refund amount will be calculated based on the proportion of time lost to the total hosting cost for the affected period.
iv. The Provider shall provide the Client with regular updates on the status of any uptime-related issues and the steps being taken to resolve them. 5. Data Backup: i. The Provider shall perform daily backups of the Client's website data to prevent data loss.
ii. The Client is responsible for maintaining any additional copies of their website data and content from these daily backups.
6. Terms:
i. In the event that illegal content is found or reported on the hosted website, Syntera Solutions reserves the right to immediately remove the website from our servers without issuing a refund to the client. Illegal content includes but is not limited to any material that violates local, state, federal, or international laws, infringes on intellectual property rights, contains malicious software, promotes hate speech, or engages in any other unlawful activity.
ii. Should illegal content be discovered or reported on a hosted website, Syntera Solutions reserves the right to report such activities to the appropriate authorities. This includes but is not limited to law enforcement agencies, regulatory bodies, or any other relevant entity responsible for handling such matters. We will cooperate with any investigation to our discretion and provide necessary information to assist in the resolution of the issue.
7. Confidentiality: Both parties agree to keep confidential any information obtained during the term of this Agreement.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Oklahoma and the United States.
